1Acceptance of these Terms

These Terms of Use ("Terms") govern your access to and use of ceroxi.com and the services made available there, including our browser-based image and PDF tools (the "Tools") and our online radio directory (the "Directory") (collectively, the "Service", provided by Ceroxi, "we", or "us"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2Use of the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service — including the Tools and the Directory — for your personal or commercial purposes. No registration or account is required to use the Service.

We may add, modify, or discontinue any feature of the Service at our sole discretion and without prior notice.

3Your files and your responsibility

All processing performed by the Tools occurs locally within your web browser. We do not access, store, or transmit the files you process. You are solely responsible for the lawful ownership of, and the right to process, any file you submit to the Tools, and for ensuring that such use does not infringe any third-party right.

4Prohibited use

You agree that you will not use the Service:

• to process, distribute, or create content that is unlawful, defamatory, harmful, or otherwise objectionable;
• to infringe or violate the intellectual-property, privacy, publicity, or other rights of any person or entity;
• in any manner that breaches any applicable law, regulation, or contractual obligation by which you are bound;
• to attempt to interfere with, disrupt, reverse-engineer, or gain unauthorised access to any part of the Service or to the systems, networks, or accounts of others;
• to send automated traffic that places an unreasonable load on the Service.

5No warranties

The Service and the Tools are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, accuracy of output, non-infringement, and uninterrupted or error-free operation.

Use of the Tools is at your own risk, and you assume sole responsibility for any outcome arising from such use.

6Availability and termination

We reserve the right to modify, suspend, or discontinue the Service, or any feature within it, at any time and without prior notice or liability. Free access to the Service may change in the future.

You may stop using the Service at any time. Upon your ceasing to use the Service, the licence granted in Section 2 automatically terminates. Sections 5, 8, 9, 10, 11, 12, 13, and 14 shall survive any termination of these Terms.

7Advertising and third-party services

The Service does not currently display third-party advertising. Should this change, this Section will be updated to identify the relevant network(s).

8Intellectual property

The Ceroxi name, logo, the visual design, and the Service itself are owned by us or our licensors and are protected by copyright, trademark, and other applicable laws. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any part of the Service except as expressly permitted in writing by us. All rights not expressly granted in these Terms are reserved.

9Limitation of liability

To the fullest extent permitted by applicable law, in no event shall Ceroxi, its operators, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your access to or use of, or inability to use, the Service — whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Where liability cannot be excluded or limited under applicable law, our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed one hundred euros (€100) or the equivalent amount in the applicable local currency.

10Indemnification

You agree to indemnify, defend, and hold harmless Ceroxi, its operators, affiliates, and personnel from and against any and all claims, demands, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service; (b) your breach of these Terms; or (c) your violation of any law or of any rights of a third party.

11Governing law

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of Ukraine, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Ukraine, save where mandatory consumer protection rules of your country of residence provide otherwise.

12Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable and consistent with our original intent, and the remaining provisions shall continue in full force and effect.

13Force majeure

We shall not be liable for any failure or delay in the performance of our obligations under these Terms caused by events beyond our reasonable control, including, without limitation, acts of God, natural disasters, war, terrorism, riots, embargoes, internet or telecommunications outages, failures of third-party services, or actions of any governmental authority.

14Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ceroxi with respect to the Service and supersede any prior agreements, communications, or representations relating to the same subject matter.

15Changes to these Terms

We may amend these Terms from time to time. The revised version will be posted on this page with the "Last updated" date amended accordingly. Where we make material changes, we will take reasonable steps to make those changes clearly visible to users. Your continued use of the Service following such posting constitutes your acceptance of the revised Terms.
